A transaction involving more than one country needs a clear allocation of legal responsibilities. An overseas contract may require Indian regulatory review, foreign-law advice, bank documentation and tax inputs at different stages. Kothari & Jain advises on Indian legal aspects of cross-border arrangements and helps identify where foreign counsel or other professional input is required.

Situations we can assist with

  • Cross-border commercial contracts, distribution and service arrangements.
  • Indian legal documentation for foreign investment and overseas business activity.
  • Review of governing-law, jurisdiction, arbitration and payment provisions.
  • Indian powers of attorney, corporate authorisations and document-use questions.
  • Coordination of Indian disputes involving overseas parties or records.
  • Identification of foreign-exchange, corporate and related professional workstreams.

Structure the transaction before signing

We begin by identifying the parties, their residence and ownership, the countries involved, proposed payments and the commercial purpose. The drafting should answer who must do what, when payment becomes due, which currency applies and how a disagreement will be resolved. Practical enforceability and the location of relevant assets should form part of the discussion.

For overseas investment, the RBI’s Overseas Investment Regulations include conditions and reporting requirements. The applicability of a particular route depends on the proposed arrangement; describing a payment as an investment or a loan is not enough to establish compliance. Banking and regulatory requirements should be considered before funds move.

Documents crossing borders

Execution, authentication, translation and acceptance are separate questions. The Ministry of External Affairs explains apostille and attestation arrangements, including their role in authenticating documents for use abroad. Authentication does not itself confirm that a document’s contents are legally sufficient for the proposed transaction.

Share the destination authority’s requirements before arranging execution. A document acceptable to one institution may require a different form, supporting record or translation for another use. The applicable treaty arrangements and requirements of the receiving jurisdiction should be checked for the actual countries involved.

Prepare for the first discussion

Provide the draft contract or term sheet, entity and ownership details, relevant passports or residence information, transaction values, payment route and bank correspondence. Include existing approvals, reporting records, disputes and deadlines. Where foreign advisers are involved, identify their role and the questions already addressed to reduce gaps or duplicated work.

Common questions

Can one contract cover both countries?

A single agreement can allocate commercial obligations, but it does not remove mandatory requirements in either jurisdiction. Local-law review may still be necessary.

Does an apostille make a power of attorney valid for every purpose?

No. Authority, wording, execution and any applicable stamping or registration requirements require their own assessment, alongside authentication.

Does the firm provide foreign-law opinions?

Our scope here is Indian-law advice and coordination. Opinions or representation governed by foreign professional-licensing requirements should be provided by appropriately qualified counsel in that jurisdiction.
